Terms of Service

1. Agreement to Terms

By creating an account or using the Modou platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you ("User", "you") and Modou ("we", "us").

2. Description of Service

Modou is an AI-powered automation platform that connects to your business tools (CRM, project management, email, payments, etc.) via OAuth and uses AI agents to scan, analyse, and execute automations on your behalf. The Service includes:

  • Reading data from your connected tools
  • Identifying problems, inefficiencies, and opportunities in your data
  • Creating, updating, and deleting records in your connected tools
  • Creating native workflows and automations inside your tools
  • Generating reports, email drafts, and data analysis
  • Real-time event-driven triggers and cross-tool automations

3. Tool Connection and User Responsibility

This is an important clause. Please read it carefully.

When you connect a third-party tool to Modou (e.g. HubSpot, Slack, Google Sheets, Stripe, Monday.com, or any other integration), you grant Modou permission to read, create, edit, and delete data in that tool on your behalf using AI agents.

By connecting a tool and initiating any agent action (scan, analysis, execution, or automation), you acknowledge and agree that:

  • You are responsible for reviewing and approving agent actions. Modou provides an approval queue for high-risk actions, and you are responsible for reviewing what the agent proposes before approving it.
  • Any data that is created, edited, modified, or deleted in your connected tools as a result of agent execution is your responsibility. You initiated the action, you selected the tools, and you authorised the agent to operate. Modou acts as the instrument executing your instructions.
  • You are the decision-maker. The AI agent performs actions based on your instructions and the system prompts configured in the platform. You are responsible for verifying that the agent is doing what you intended it to do. If the outcome differs from your expectations, the responsibility lies with you as the person who gave the order.
  • Modou is not liable for changes made to your data. We provide tools for undo/rollback of agent actions where technically possible, but we cannot guarantee that all actions are reversible. Some actions (e.g. sent emails, deleted records in tools that don't support recovery) may be permanent.
  • You should test with non-critical data first. We strongly recommend running your first automations on non-production data or a small subset of records to verify the agent behaves as expected before running it on your full dataset.

In summary: you connect the tools, you give the orders, you review the results. Modou executes what you instruct it to do. The responsibility for the outcomes rests with you.

4. Account Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You must be at least 18 years old to use the Service
  • You are responsible for all activity that occurs under your account
  • One person or entity per account. Accounts are not transferable

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorised purpose
  • Intentionally use the AI agents to spam, harass, or send unsolicited communications
  • Attempt to gain unauthorised access to other users' data or accounts
  • Use the Service to process data you do not have the right to access
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Resell or redistribute access to the Service without our written permission
  • Overload or disrupt the Service through automated abuse or excessive API calls

6. AI-Generated Content

The Service uses AI models to generate analysis, reports, email drafts, and recommendations. You acknowledge that:

  • AI outputs are generated based on the data available in your connected tools and may contain inaccuracies
  • You are responsible for reviewing all AI-generated content before acting on it or sharing it
  • Modou does not guarantee the accuracy, completeness, or suitability of AI-generated outputs
  • AI-generated email drafts must be reviewed and explicitly approved by you before they are sent
  • AI-generated reports and analysis should be treated as decision-support tools, not definitive business advice

7. Pricing and Billing

  • The Service offers free and paid plans as described on our pricing page
  • Paid plans are billed monthly or annually through Stripe
  • Prices are in Euros (EUR) and exclude applicable taxes
  • You can cancel your subscription at any time from your dashboard settings
  • Cancellation takes effect at the end of the current billing period, with no prorated refunds
  • We reserve the right to change pricing with 30 days notice

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
  • Modou is not liable for the actions its AI agents perform on your behalf. The AI agent acts only as an instrument that carries out your instructions and the authorisations you give it (including actions you approve in the approval queue or enable by configuring automations). To the maximum extent permitted by law, Modou is not liable for any loss, damage, cost, data loss, corruption, deletion, unintended change, missed or incorrect action, or third-party claim arising from any action the AI agent takes in your account or in your connected tools.
  • Modou shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total aggregate liability for any claim arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim.
  • We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that AI-generated outputs will be accurate or fit for a particular purpose.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law (for example, liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation).

9. Indemnification

You agree to indemnify and hold Modou harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Actions taken by AI agents that you authorised or initiated
  • Your violation of these Terms
  • Your violation of any third party's rights

10. Termination

  • You may terminate your account at any time from your dashboard settings
  • We may suspend or terminate your account if you violate these Terms
  • Upon termination, your data will be deleted in accordance with our Privacy Policy
  • Provisions that by their nature should survive termination (liability, indemnification, disclaimers) will continue to apply

11. Third-Party Tools

The Service integrates with third-party tools and platforms. We are not responsible for the availability, reliability, or terms of service of any third-party tool. Your use of connected tools is subject to the respective provider's terms and conditions. Modou is not a party to any agreement between you and a third-party tool provider.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Amsterdam, the Netherlands.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance. If you disagree with any changes, you should stop using the Service and delete your account.
