It marks where they disagree and works out the quantities for your calculation, including items the drawing does not show, each with its source. With an IFC model and a build-up you choose, it also makes your order list. Here is what it reads, what it costs and what happens to your documents. What Modou reads 2 questions What does Modou read? The files in the tender package you upload: the specification as PDF or Word (.docx), the drawings as PDF, schedules in Excel (.xlsx) or CSV, the IFC model (IFC2x3 or IFC4) and DXF. Zip files, DWG and Revit are not read yet, so upload the files themselves, and export DWG to DXF and Revit to IFC first. Scanned pages are read with text recognition, and every value read that way waits for you to check it. Modou notes which revision of each drawing it used, so you always know where a figure comes from. It also reads the text on the drawings themselves, such as notes and labels. How is Modou different from a takeoff tool? A takeoff measures: it gives you areas, lengths and counts for what you point it at. It does not read the specification, and it does not notice when the specification, the schedules and the model disagree. Modou does, with the source for every figure. It also works out the items nobody draws, such as sill flashings, reveals, subframe and fixings, each with its formula. And from an IFC model and the build-up you choose, it makes an order list of the materials in that build-up. How it works 2 questions Does Modou send the quote? No. Modou prepares the quantities and shows what needs a decision. You check them, you price them in your own calculation software and you send the quote. Questions for the architect are noted for you. Modou never sends them. Do I have to install or maintain anything? No. You upload the tender package in your browser. There is nothing to install and no second system to keep up to date. You keep calculating in the software you already use: Modou exports Excel and CSV files, and CUF-XML files in pilot, which you import yourself. These are files, never a live connection. You can ask questions about a project in the dashboard, or in Slack, Telegram or Discord. Your data 1 question What happens to my data? Your documents, prices and decisions stay in your own account and are never shared with other customers. The database runs in the European Union. We do not use your project documents, drawings, prices or calculations to train AI models, unless you give written permission. AI processing is not guaranteed to stay in the EU. Your projects and files are kept for as long as your account exists. You can delete your account at any time. Your login and your profile are then removed straight away, together with files that belong to no project. Your project documents are kept for up to 24 months after that and are then deleted, files included. Email hi@modou.io to have them removed sooner. Why is there no price list? Because the price depends on your company: how many people calculate with Modou and how many projects you run through it. Every company gets an individual quote, and onboarding plus a dedicated account manager are included in it. Does it fit your work 1 question Does this fit my kind of work? It is built for estimators at façade, cladding and finishing contractors and subcontractors in the Netherlands, who price from a specification, drawings and, where there is one, an IFC model. It works best with an IFC model and with documents that have a text layer. Without a model, quantities come from the schedules and tables in the documents, and Modou also measures straight from the lines of a 2D drawing. That measurement keeps being improved. A scanned page can be read too, but Modou then tells you it knows the page, not the exact spot. Getting started 2 questions Can I create an account myself? Yes. They stay in your own account, where you and your team can open them and other customers never can. Traffic and stored data are encrypted, files open only through short-lived links, and we do not use your project documents, drawings, prices or calculations to train AI models, unless you give written permission. You and the colleagues in your team can open them. Other customers never can: row level security and a workspace check on every request keep one account from reading another account's data. The document check sends nothing outside your company, and your quantities leave Modou only as a file you export. 02 Encryption and storage Traffic uses HTTPS. Everything Modou stores in Supabase, your files included, is encrypted at rest. Your files sit in private storage. A file opens only through a link that expires after five minutes, made after Modou has checked that you belong to the workspace. 03 Signing in and connections Accounts use Supabase authentication, and passwords are stored only as a hash. A connection, such as your Gmail mailbox for incoming tender requests, uses OAuth. Modou receives only the permissions you accept while connecting, and a saved credential is never shown in the browser again. Picking up tender requests only reads the mailbox: it never sends mail from it and never changes it. 04 AI processing Modou uses Google Gemini through Vertex AI to read specifications and scanned pages, and to answer questions in the project chat. The relevant text and pages are sent to the model for that step. Quantities from the IFC model are measured by Modou's own code, without an AI model. We do not use external AI models that can train on your data. We do not use your project documents, drawings, prices or calculations to train AI models. The only exception is a project you have given written permission for, and even then the prices you enter are never used. 05 Data location The production database and your files are hosted by Supabase in the European Union. AI processing may use Google's global infrastructure, so Modou does not claim that every AI operation stays inside the European Union. 06 Retention and deletion Your projects and files are kept for as long as your account exists. You can delete your account at any time from your dashboard settings. Your login and your profile are then removed straight away, together with files that belong to no project (for example files attached in chat). Your project documents (drawings, specifications, models, price files, calculations and exports) are kept for up to 24 months after that and are then deleted, files included. Email hi@modou.io to have them removed sooner. If you are in a team, the team keeps the projects you created: they pass to the team owner. If you own a team that still has other members, you cannot delete your account until those members have been removed from the team. Remove them from the team first, or email hi@modou.io. No online service can promise zero risk. If a file cannot be read or a connection expires, Modou says so instead of carrying on as if it worked. Connect your Gmail mailbox and Modou picks up requests that come with attachments it can read, puts them in a new project and starts reading. Picking up requests only reads your mailbox: it never sends mail and never changes anything in it. Introduction Modou ("we", "us") operates the modou.io website and the Modou AI automation platform. This Privacy Policy explains how we collect, use, store, and protect your personal data when you use our services. We are committed to protecting your privacy and complying with the General Data Protection Regulation (GDPR) and other applicable data protection laws. 2. Data We Collect Account information: Name, email address, and password (hashed) when you create an account Company name and website (optional, during onboarding) Billing information processed securely through Stripe (we never store your full card number) Project documents: The tender documents you upload (specifications, drawings, schedules and models) and the prices, decisions and notes you add to a project These files can contain names and contact details of people working on the project, for example in a drawing's title block Tool connection data: When you connect a third-party tool (e.g. HubSpot, Slack, Stripe), we receive OAuth access tokens that allow our AI agents to read and write data in those tools on your behalf We access your tool data only to perform the automations you request (scanning, analysing, executing) We do not store copies of your tool data beyond what is needed for agent memory (scan results, health scores) to provide context in future runs Usage data: Agent run logs (which tools were used, actions taken, duration) Feature usage analytics to improve the platform Browser type, IP address, and page views for security and performance 3. How We Use Your Data To provide and operate the Modou platform and its AI agent features To read and check the project documents you upload, and to answer your questions about them To authenticate you and manage your account To execute the automations you request across your connected tools To generate reports and analysis from your connected tools To send transactional emails (account verification, password resets) To process payments through Stripe To improve our product based on aggregated, anonymised usage patterns 4. AI and Your Data Modou uses third-party AI models (Google Gemini, accessed through Google Vertex AI on Google Cloud) to power its agent features. When our agents read data from your connected tools, that data is sent to the AI model as part of the prompt to generate analysis, recommendations, or execute actions. When Modou reads a specification or a scanned page, or answers a question about a project, the text and pages needed for that step are sent to the model. We do not use external AI models that can train on your data. We do not use your project documents, drawings, prices or calculations to train AI models. The only exception is a project you have given us written permission for. We are an API customer of our AI provider, not a data partner. Your documents and business data are used to give answers within your own account. AI-generated outputs (reports, analysis, email drafts) are stored in your account and are not shared with other users. Email open tracking. Emails Modou composes on your behalf may include an invisible open-tracking image so your reports can show open rates. We record only the open time and a counter, never the message content or the reader's identity. You can turn this off any time in Settings, and it applies only to emails Modou writes, not mail you write yourself. Agent memory (health scores, past findings) is stored per user to provide context in future checks. You can delete this at any time. Where AI processing happens. Your account data and agent results are stored in the EU (see section 6). AI model processing currently runs in Google's global region and is not guaranteed to stay within the EU, so we do not claim EU-only AI processing. You decide which tools Modou connects to and which actions it runs, and you are responsible for reviewing and approving those actions. Third-Party Services We use the following third-party services to operate the platform: Supabase : authentication and database hosting (EU region, Ireland) Google Vertex AI (Google Cloud) : the AI models that power agent automations Composio : tool connections and access management Stripe : payment processing Resend : transactional email delivery PostHog : product analytics (EU region) Google Analytics : website usage analytics Vercel : website and application hosting Each service processes data in accordance with their own privacy policies. We ensure our providers meet GDPR requirements where applicable. 6. Data Storage and Security All data is encrypted in transit (TLS/HTTPS) Database hosted on Supabase with row-level security: users can only access their own data OAuth tokens are managed by Composio and not stored in our database Passwords are hashed using bcrypt via Supabase Auth, so we never store plaintext passwords We conduct regular security reviews and apply patches promptly 7. Agreement to Terms By creating an account or using the Modou platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). Description of Service Modou is an AI-powered automation platform that connects to your business tools (CRM, project management, email, payments, etc.) via OAuth and uses AI agents to scan, analyse, and execute automations on your behalf. The Service includes: Reading data from your connected tools Identifying problems, inefficiencies, and projects in your data Creating, updating, and deleting records in your connected tools Creating native workflows and automations inside your tools Generating reports, email drafts, and data analysis Real-time event-driven triggers and cross-tool automations 3. Tool Connection and User Responsibility This is an important clause. Please read it carefully. When you connect a third-party tool to Modou (e.g. HubSpot, Slack, Google Sheets, Stripe, Monday.com, or any other integration), you grant Modou permission to read, create, edit, and delete data in that tool on your behalf using AI agents. By connecting a tool and initiating any agent action (scan, analysis, execution, or automation), you acknowledge and agree that: You are responsible for reviewing and approving agent actions. Modou provides an approval queue for high-risk actions, and you are responsible for reviewing what the agent proposes before approving it. Any data that is created, edited, modified, or deleted in your connected tools as a result of agent execution is your responsibility. You initiated the action, you selected the tools, and you authorised the agent to operate. Modou acts as the instrument executing your instructions. You are the decision-maker. The AI agent performs actions based on your instructions and the system prompts configured in the platform. You are responsible for verifying that the agent is doing what you intended it to do. If the outcome differs from your expectations, the responsibility lies with you as the person who gave the order. Modou is not liable for changes made to your data. We provide tools for undo/rollback of agent actions where technically possible, but we cannot guarantee that all actions are reversible. Some actions (e.g. sent emails, deleted records in tools that don't support recovery) may be permanent. You should test with non-critical data first. We strongly recommend running your first automations on non-production data or a small subset of records to verify the agent behaves as expected before running it on your full dataset. In summary: you connect the tools, you give the orders, you review the results. Modou executes what you instruct it to do. The responsibility for the outcomes rests with you. 4. Account Registration You must provide accurate and complete information when creating an account You are responsible for maintaining the security of your account credentials You must be at least 18 years old to use the Service You are responsible for all activity that occurs under your account One person or entity per account. AI-Generated Content The Service uses AI models to generate analysis, reports, email drafts, and recommendations. To the maximum extent permitted by law, Modou is not liable for any loss, damage, cost, data loss, corruption, deletion, unintended change, missed or incorrect action, or third-party claim arising from any action the AI agent takes in your account or in your connected tools. Modou shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. It applies whenever Modou processes Customer Personal Data on the Customer's behalf to provide the Service. Roles and scope For Customer Personal Data processed through the Service, the Customer is the controller and Modou is the processor. The Customer decides why and how that personal data is processed, including which connected tools and actions it authorises. Modou acts as an independent controller only for personal data it needs to run its own business, such as account administration, billing, legal compliance, and security. That processing is described in the Privacy Policy. 2. Documented instructions Modou will process Customer Personal Data only on the Customer's documented instructions, including the Terms of Service, this DPA, and instructions given through the Service. Modou will inform the Customer if an instruction appears to breach applicable data-protection law, unless the law prevents it from doing so. Modou may process Customer Personal Data where Union or Member State law requires it. In that case, Modou will tell the Customer before processing unless the law prohibits notification. 3. Confidentiality Modou ensures that people authorised to process Customer Personal Data are bound by confidentiality obligations or are under an appropriate statutory duty of confidentiality. Access is limited to people who need it to provide, secure, or support the Service. 4. Security Modou will implement appropriate technical and organisational measures designed to protect Customer Personal Data, taking account of the nature of the processing and the risks involved. Sub-processors The Customer gives Modou general written authorisation to use sub-processors that are necessary to provide the Service. Before adding or replacing a sub-processor that materially affects Customer Personal Data, Modou will provide reasonable prior notice through the Service, by email, or on this page. The Customer may raise a reasonable data-protection objection during that notice period. 6. Help with data-protection obligations Taking account of the nature of the processing, Modou will provide reasonable assistance to help the Customer respond to requests from people exercising their data-protection rights. The Customer remains responsible for responding to those requests. Modou will also provide reasonable information and assistance for the Customer's data-protection impact assessments, prior consultations with supervisory authorities, and other obligations under Articles 32 to 36 GDPR, where the assistance relates to the Service and is required by applicable law. 7. Personal data breaches If Modou becomes aware of a personal data breach involving Customer Personal Data, it will notify the Customer without undue delay. Modou will share the information reasonably available to help the Customer meet its own breach-notification duties. 8. International transfers Customer Personal Data is stored in the EU where described in the Privacy Policy. Some service providers, including AI providers, may process data outside the European Economic Area. Where a transfer requires a safeguard under Chapter V GDPR, Modou will use an appropriate lawful transfer mechanism. 9. Return and deletion At the end of the Service, the Customer may export its data where the Service provides that option. When the account is deleted, Modou removes the login and the profile straight away, together with files that belong to no project. Project documents (drawings, specifications, models, price files, calculations and exports) are kept for up to 24 months after the account is deleted and are then deleted, files included. On the Customer's written request to hi@modou.io, Modou deletes them within 30 days, unless applicable law requires continued storage. Residual copies in secure backups are isolated and removed in the ordinary backup cycle. Modou will not restore Customer Personal Data from a backup except where necessary for disaster recovery or legal obligations. 10. Information and audits Modou will make information reasonably necessary to demonstrate compliance with this DPA available to the Customer. On reasonable written notice, the Customer may conduct an audit or appoint an independent auditor, no more than once in any 12-month period unless a material incident or regulator requires otherwise. Audits must be carried out during normal business hours, avoid unreasonable disruption, protect other customers' confidential information, and follow Modou's reasonable security requirements. The Customer bears its audit costs unless the audit identifies Modou's material breach of this DPA. 11. Term and order of precedence This DPA starts when the Customer uses the Service and continues for as long as Modou processes Customer Personal Data. If this DPA conflicts with the Terms of Service on a data-processing matter, this DPA takes precedence to that extent. This DPA does not reduce the Customer's responsibility to have a lawful basis for its instructions, give required notices, and ensure that its use of the Service complies with applicable law. Modou leest je aanbestedingsdossier: het bestek, de tekeningen en het IFC-model. Hij markeert waar ze elkaar tegenspreken en rekent de hoeveelheden voor je calculatie uit, ook de posten die niet op de tekening staan, elk met de bron erbij. Met een IFC-model en een opbouw die jij kiest, maakt hij ook je bestellijst. Hier staat wat hij leest, wat het kost en wat er met je documenten gebeurt. Wat Modou leest 2 vragen Wat leest Modou? De bestanden uit het aanbestedingsdossier dat je uploadt: het bestek als PDF of Word (.docx), de tekeningen als PDF, staten in Excel (.xlsx) of CSV, het IFC-model (IFC2x3 of IFC4) en DXF. Zipbestanden, DWG en Revit leest hij nog niet. Upload dus de losse bestanden, en exporteer DWG eerst naar DXF en Revit naar IFC. Gescande pagina's leest hij met tekstherkenning, en elke waarde die hij zo leest, wacht op jouw controle. Modou noteert van elke tekening welke revisie hij gebruikte, zodat je altijd weet waar een getal vandaan komt. Hij leest ook de tekst op de tekeningen zelf, zoals notities en aanduidingen. Waarin verschilt Modou van een meettool? Een meettool meet: hij geeft je oppervlaktes, lengtes en aantallen van wat je aanwijst. Hij leest het bestek niet en ziet niet dat bestek, staten en model elkaar tegenspreken. Modou wel, met bij elk getal de bron. Hij rekent ook de posten uit die niemand tekent, zoals waterslagen, dagkanten, achterconstructie en bevestiging, elk met de formule erbij. En uit een IFC-model en de opbouw die jij kiest, maakt hij een bestellijst van de materialen in die opbouw. Hoe het werkt 2 vragen Verstuurt Modou de offerte? Nee. Modou zet de hoeveelheden klaar en laat zien waar een beslissing nodig is. Jij controleert ze, jij prijst ze in je eigen calculatiesoftware en jij verstuurt de offerte. Vragen aan de architect noteert Modou voor je. Versturen doet hij nooit. Moet ik iets installeren of beheren? Nee. Je uploadt het aanbestedingsdossier in je browser. Er is niets te installeren en geen tweede systeem om bij te houden. Je blijft calculeren in de software die je al gebruikt: Modou exporteert Excel- en CSV-bestanden en, nog in de pilotfase, CUF-XML-bestanden. Die lees je zelf in. Het zijn bestanden, nooit een live koppeling. Vragen over een project stel je in het dashboard, of in Slack, Telegram of Discord. Je gegevens 1 vraag Wat gebeurt er met mijn data? Je documenten, prijzen en besluiten blijven in je eigen account en worden nooit gedeeld met andere klanten. De database draait in de Europese Unie. We gebruiken je projectdocumenten, tekeningen, prijzen en calculaties niet om AI-modellen te trainen, tenzij je daar schriftelijk toestemming voor geeft. We kunnen niet garanderen dat de AI-verwerking binnen de EU blijft. Je projecten en bestanden bewaren we zolang je account bestaat. Je kunt je account altijd verwijderen. Je login en je profiel zijn dan meteen weg, net als bestanden die bij geen enkel project horen. Je projectdocumenten bewaren we daarna nog maximaal 24 maanden en dan verwijderen we ze, inclusief de bestanden. Wil je dat ze eerder weg zijn, mail dan naar hi@modou.io. Controleer één project gratis, zonder creditcard: upload het aanbestedingsdossier en Modou laat zien wat hij vindt, elk met de bron erbij. Wil je een eerlijke test? Neem een offerte die je al hebt uitgerekend en verstuurd, en leg wat Modou vindt post voor post naast je eigen calculatie. Voor besluiten vastleggen, je gecontroleerde calculatie exporteren en meer projecten heb je eerst een betaalmethode nodig. De hoeveelheden van je gratis project exporteer je zonder betaalmethode vanuit het tabblad Hoeveelheden. Waarom staat er geen prijslijst? Omdat de prijs van jouw bedrijf afhangt: van hoeveel mensen ermee calculeren en hoeveel projecten je erdoor laat lopen. Elk bedrijf krijgt een offerte op maat, inclusief onboarding en een vaste accountmanager. Past het bij jouw werk 1 vraag Past dit bij mijn soort werk? Het is gemaakt voor calculators bij aannemers en onderaannemers in gevel, gevelbekleding en afbouw in Nederland, die een werk prijzen vanuit het bestek, de tekeningen en, als dat er is, een IFC-model. Het werkt het best met een IFC-model en met documenten die een tekstlaag hebben. Zonder model komen de hoeveelheden uit de staten en tabellen in de documenten, en Modou meet ook rechtstreeks uit de lijnen van een 2D-tekening. Die meting wordt steeds verder aangescherpt. Een gescande pagina kan hij ook lezen, maar dan zegt Modou erbij dat hij alleen de pagina weet, niet de precieze plek. Aan de slag 2 vragen Kan ik zelf een account aanmaken? Ja. Maak je account aan via de aanmeldpagina en upload je eerste project. Bij het aanmelden vraagt Modou welke vakgebieden jouw bedrijf zelf uitvoert, zodat hij het dossier leest vanuit jouw scope. Zet je het liever samen op? Plan een demo , mail hi@modou.io of vul het contactformulier in, dan bellen we je terug binnen één werkdag. Prijst Modou het werk? Nee. Je prijst het werk in je eigen calculatiesoftware, met je eigen prijzen, uurnormen en marges. Modou levert de gecontroleerde hoeveelheden aan als Excel- of CSV-bestand, of als CUF-XML-bestand (in de pilotfase), gemaakt voor calculatiepakketten zoals Ibis, Kraan nCalc en Vakware. Modou leest het bestek, de tekeningen en het model, markeert waar ze elkaar tegenspreken en rekent uit welke planken, regels, waterslagen en schroeven je moet bestellen. Elke aanname wacht op jouw goedkeuring. Het bestek, de tekeningen en het model zeggen zelden precies hetzelfde, en er is bijna nooit tijd om elke pagina na te lopen voordat de prijs de deur uitgaat. Wat erdoor glipt, komt later terug als werk dat niemand heeft geprijsd, of als materiaal dat op de bouw ontbreekt. Modou neemt het lezen en rekenen over, en laat elke beslissing aan de calculator. Hoe Modou werkt Principes achter het product 01 Eerst het document, dan de claim Elke eis, tegenstrijdigheid en hoeveelheid verwijst naar het document, de revisie en de pagina, de cel in de spreadsheet of het element in het model. Kan Modou iets niet onderbouwen, dan zegt hij dat. 02 Jij beslist Spreken bronnen elkaar tegen, dan laat Modou ze allebei zien en kiest hij niet zelf. Elke aanname wacht op jouw goedkeuring, en Modou legt elk besluit vast met jouw reden erbij. 03 Geen gokwerk Laten de stukken iets open, dan zegt Modou dat en maakt hij er een open punt van. Beveiliging per rij en een controle op de werkruimte bij elk verzoek voorkomen dat een account gegevens van een ander account leest. De documentcontrole stuurt niets naar buiten je bedrijf, en je hoeveelheden komen alleen buiten Modou terecht als bestand dat jij exporteert. 02 Versleuteling en opslag Verkeer loopt via HTTPS. Alles wat Modou in Supabase bewaart, ook je bestanden, wordt versleuteld opgeslagen. Je bestanden staan in afgeschermde opslag. Een bestand open je alleen via een link die na vijf minuten verloopt, en die link maakt Modou pas aan nadat hij heeft gecontroleerd dat je bij de werkruimte hoort. 03 Inloggen en koppelingen Inloggen gaat via Supabase, en wachtwoorden worden alleen als hash bewaard. Een koppeling, zoals je Gmail voor binnenkomende aanvragen, loopt via OAuth. Modou krijgt alleen de rechten die je tijdens het koppelen accepteert, en een opgeslagen sleutel wordt daarna niet meer in je browser getoond. Om aanvragen op te halen, leest Modou alleen mee in je mailbox: hij verstuurt er nooit mail uit en verandert er niets in. 04 Verwerking door AI Modou gebruikt Google Gemini via Vertex AI om bestekken en gescande pagina's te lezen, en om vragen in de projectchat te beantwoorden. De tekst en pagina's die voor die stap nodig zijn, gaan naar het model. Hoeveelheden uit het IFC-model meet Modou met zijn eigen code, zonder AI-model. We gebruiken geen externe AI-modellen die op jouw gegevens kunnen trainen. We gebruiken je projectdocumenten, tekeningen, prijzen en calculaties niet om AI-modellen te trainen. De enige uitzondering is een project waarvoor je schriftelijk toestemming hebt gegeven, en ook dan gebruiken we de prijzen die je invult nooit. 05 Locatie van gegevens De productiedatabase en je bestanden staan bij Supabase in de Europese Unie. AI-verwerking kan via de wereldwijde infrastructuur van Google lopen. Daarom beweert Modou niet dat elke AI-bewerking binnen de Europese Unie blijft. 06 Bewaren en verwijderen Je projecten en bestanden bewaren we zolang je account bestaat. Je kunt je account altijd verwijderen via de instellingen in je dashboard. Je login en je profiel zijn dan meteen weg, net als bestanden die bij geen enkel project horen (bijvoorbeeld bestanden die je in de chat hebt meegestuurd). Je projectdocumenten (tekeningen, bestekken, modellen, prijsbestanden, calculaties en exports) bewaren we daarna nog maximaal 24 maanden. Dan verwijderen we ze, inclusief de bestanden. Wil je dat ze eerder weg zijn, mail dan naar hi@modou.io. Zit je in een team, dan houdt het team de projecten die jij hebt aangemaakt: ze gaan over naar de eigenaar van het team. Ben je zelf eigenaar van een team met nog andere leden, dan kun je je account pas verwijderen als die leden uit het team zijn gehaald. Haal ze eerst uit het team, of mail hi@modou.io. Geen enkele online dienst kan nul risico beloven. Kan Modou een bestand niet lezen of verloopt een koppeling, dan zegt hij dat in plaats van te doen alsof het gelukt is. AI en je gegevens Modou gebruikt externe AI-modellen (Google Gemini, benaderd via Google Vertex AI op Google Cloud) om zijn agentfuncties aan te drijven. Wanneer onze agents data uit je verbonden tools lezen, wordt die data als onderdeel van de prompt naar het AI-model gestuurd om analyses, aanbevelingen of acties te genereren. Wanneer Modou een bestek of een gescande pagina leest, of een vraag over een project beantwoordt, gaan de tekst en de pagina's die daarvoor nodig zijn naar het model. We gebruiken geen externe AI-modellen die op jouw gegevens kunnen trainen. We gebruiken je projectdocumenten, tekeningen, prijzen en calculaties niet om AI-modellen te trainen. De enige uitzondering is een project waarvoor je ons schriftelijk toestemming hebt gegeven. We zijn een API-klant van onze AI-aanbieder, geen datapartner. Je documenten en bedrijfsgegevens worden gebruikt om antwoorden te geven binnen je eigen account. Door AI gegenereerde output (rapporten, analyses, e-mailconcepten) wordt opgeslagen in je account en niet gedeeld met andere gebruikers. Opentracking van e-mails. E-mails die Modou namens jou opstelt, kunnen een onzichtbare afbeelding voor opentracking bevatten, zodat je rapporten het openpercentage kunnen tonen. We registreren alleen het moment van openen en een teller, nooit de inhoud van het bericht of de identiteit van de lezer. Je kunt dit op elk moment uitzetten in Instellingen, en het geldt alleen voor e-mails die Modou schrijft, niet voor mail die je zelf schrijft. Het agentgeheugen (gezondheidsscores, eerdere bevindingen) wordt per gebruiker opgeslagen om context te bieden bij toekomstige controles. Je kunt dit op elk moment verwijderen. Waar de AI-verwerking plaatsvindt. Je accountgegevens en agentresultaten worden opgeslagen in de EU (zie sectie 6). De verwerking door het AI-model draait op dit moment in de wereldwijde regio van Google. Het is niet gegarandeerd dat die binnen de EU blijft, dus we beweren niet dat de AI-verwerking uitsluitend in de EU plaatsvindt. Jij bepaalt met welke tools Modou verbinding maakt en welke acties hij uitvoert, en jij bent verantwoordelijk voor het beoordelen en goedkeuren van die acties. Diensten van derden We gebruiken de volgende diensten van derden om het platform te laten werken: Supabase : authenticatie en databasehosting (EU-regio, Ierland) Google Vertex AI (Google Cloud) : de AI-modellen die de agentautomatiseringen aandrijven Composio : toolverbindingen en toegangsbeheer Stripe : betalingsverwerking Resend : bezorging van transactionele e-mail PostHog : productanalyses (EU-regio) Google Analytics : analyses van websitegebruik Vercel : hosting van de website en applicatie Elke dienst verwerkt gegevens volgens zijn eigen privacybeleid. We zorgen ervoor dat onze aanbieders voldoen aan de AVG-eisen, waar die van toepassing zijn. 6. Opslag en beveiliging van gegevens Alle data is versleuteld tijdens transport (TLS/HTTPS) De database draait op Supabase met beveiliging op rijniveau: gebruikers kunnen alleen bij hun eigen data OAuth-tokens worden beheerd door Composio en niet opgeslagen in onze database Wachtwoorden worden gehasht met bcrypt via Supabase Auth, dus we slaan nooit wachtwoorden in platte tekst op We voeren regelmatig beveiligingscontroles uit en passen patches snel toe 7. Je rechten (AVG) Op grond van de AVG heb je recht op: Inzage : een kopie opvragen van de persoonsgegevens die we over je bewaren Rectificatie : onjuiste persoonsgegevens laten corrigeren Verwijdering : verwijdering vragen van je account en alle bijbehorende data Overdraagbaarheid : je data ontvangen in een gestructureerd, machineleesbaar formaat Beperking : de verwerking van je data beperken in bepaalde omstandigheden Bezwaar : bezwaar maken tegen de verwerking van je data voor bepaalde doeleinden Je kunt je account op elk moment verwijderen via je dashboardinstellingen. Je login en je profiel zijn dan meteen weg, net als bestanden die bij geen enkel project horen (bijvoorbeeld bestanden die je in de chat hebt meegestuurd). Je projectdocumenten bewaren we daarna nog maximaal 24 maanden en dan verwijderen we ze, inclusief de bestanden. Zit je in een team, dan houdt het team de projecten die jij hebt aangemaakt. Ben je eigenaar van een team met nog andere leden, haal die dan eerst uit het team, of mail ons. In sectie 8 staat het volledig uitgeschreven. Akkoord met de voorwaarden Door een account aan te maken of het Modou-platform ("de Service") te gebruiken, ga je akkoord met deze Servicevoorwaarden ("de Voorwaarden"). Ga je hier niet mee akkoord, dan mag je de Service niet gebruiken. Deze Voorwaarden vormen een juridisch bindende overeenkomst tussen jou ("Gebruiker", "je") en Modou ("wij", "ons"). 2. Beschrijving van de Service Modou is een automatiseringsplatform op basis van AI dat via OAuth verbinding maakt met je zakelijke tools (CRM, projectbeheer, e-mail, betalingen en meer) en AI-agents inzet om automatiseringen voor je te scannen, analyseren en uitvoeren. De Service omvat: Data lezen uit je verbonden tools Problemen, inefficiënties en projecten in je data opsporen Records aanmaken, bijwerken en verwijderen in je verbonden tools Native workflows en automatiseringen bouwen binnen je tools Rapporten, e-mailconcepten en data-analyses genereren Realtime triggers op basis van events en automatiseringen over meerdere tools heen 3. Tools verbinden en jouw verantwoordelijkheid Dit is een belangrijke bepaling. Lees deze aandachtig. Wanneer je een externe tool met Modou verbindt (bijvoorbeeld HubSpot, Slack, Google Sheets, Stripe, Monday.com of een andere integratie), geef je Modou toestemming om met AI-agents namens jou data in die tool te lezen, aan te maken, te bewerken en te verwijderen. Door een tool te verbinden en een agentactie te starten (scannen, analyseren, uitvoeren of automatiseren) erken je en ga je ermee akkoord dat: Jij verantwoordelijk bent voor het beoordelen en goedkeuren van agentacties. Modou biedt een goedkeuringswachtrij voor acties met een hoog risico, en jij bent verantwoordelijk voor het beoordelen van wat de agent voorstelt voordat je het goedkeurt. Alle data die door de uitvoering van een agent in je verbonden tools wordt aangemaakt, bewerkt, gewijzigd of verwijderd jouw verantwoordelijkheid is. Jij hebt de actie gestart, jij hebt de tools gekozen en jij hebt de agent toestemming gegeven om te werken. Modou is het instrument dat jouw instructies uitvoert. Jij de beslisser bent. De AI-agent voert acties uit op basis van jouw instructies en de systeemprompts die in het platform zijn ingesteld. Jij bent verantwoordelijk voor het controleren of de agent doet wat je bedoelde. Wijkt het resultaat af van je verwachting, dan ligt de verantwoordelijkheid bij jou als degene die de opdracht gaf. Modou niet aansprakelijk is voor wijzigingen in je data. We bieden tools om agentacties ongedaan te maken of terug te draaien waar dat technisch mogelijk is, maar we kunnen niet garanderen dat alle acties omkeerbaar zijn. Sommige acties (bijvoorbeeld verzonden e-mails of verwijderde records in tools die geen herstel ondersteunen) kunnen definitief zijn. Je eerst zou moeten testen met niet-kritieke data. We raden je sterk aan om je eerste automatiseringen te draaien op data buiten je productieomgeving of op een kleine selectie records, zodat je kunt controleren of de agent zich gedraagt zoals verwacht voordat je hem op je volledige dataset loslaat. Kort gezegd: jij verbindt de tools, jij geeft de opdrachten, jij beoordeelt de resultaten. Modou voert uit wat je opdraagt. De verantwoordelijkheid voor de uitkomsten ligt bij jou. 4. Account aanmaken Je moet juiste en volledige informatie opgeven bij het aanmaken van een account Je bent verantwoordelijk voor het beveiligen van je inloggegevens Je moet minstens 18 jaar oud zijn om de Service te gebruiken Je bent verantwoordelijk voor alle activiteit die onder je account plaatsvindt Eén persoon of organisatie per account. Accounts zijn niet overdraagbaar 5. Aanvaardbaar gebruik Je gaat ermee akkoord om niet: De Service te gebruiken voor illegale of niet-geautoriseerde doeleinden De AI-agents bewust te gebruiken om te spammen, te intimideren of ongevraagde berichten te versturen Te proberen ongeoorloofde toegang te krijgen tot de data of accounts van andere gebruikers De Service te gebruiken om data te verwerken waartoe je geen toegangsrecht hebt De Service te reverse engineeren, te decompileren of te proberen de broncode eruit te halen Toegang tot de Service door te verkopen of door te geven zonder onze schriftelijke toestemming De Service te overbelasten of te verstoren door geautomatiseerd misbruik of overmatige API-aanroepen 6. Door AI gegenereerde content De Service gebruikt AI-modellen om analyses, rapporten, e-mailconcepten en aanbevelingen te genereren. Je erkent dat: AI-output wordt gegenereerd op basis van de data in je verbonden tools en onnauwkeurigheden kan bevatten Je verantwoordelijk bent voor het beoordelen van alle door AI gegenereerde content voordat je ernaar handelt of het deelt Modou de juistheid, volledigheid of geschiktheid van door AI gegenereerde output niet garandeert Door AI gegenereerde e-mailconcepten door jou moeten worden beoordeeld en uitdrukkelijk goedgekeurd voordat ze worden verzonden Door AI gegenereerde rapporten en analyses gezien moeten worden als hulpmiddel bij je beslissingen, niet als definitief zakelijk advies 7. Prijzen en facturering De Service biedt gratis en betaalde abonnementen zoals beschreven op onze prijzenpagina Betaalde abonnementen worden maandelijks of jaarlijks gefactureerd via Stripe Prijzen zijn in euro's (EUR) en exclusief de toepasselijke belastingen Je kunt je abonnement op elk moment opzeggen via je dashboardinstellingen Opzegging gaat in aan het einde van de lopende factuurperiode, zonder restitutie naar rato We behouden ons het recht voor om prijzen te wijzigen, met 30 dagen vooraankondiging 8. Beperking van aansprakelijkheid Voor zover maximaal toegestaan door de toepasselijke wet: De Service wordt geleverd in de huidige staat en zoals beschikbaar, zonder enige garantie, uitdrukkelijk of stilzwijgend. Modou is niet aansprakelijk voor de acties die zijn AI-agents namens jou uitvoeren. Deze geldt wanneer Modou persoonsgegevens van de Klant namens de Klant verwerkt om de Service te leveren. Heb je een ondertekend exemplaar van deze overeenkomst nodig of heb je een privacyvraag, neem dan contact op via hi@modou.io voordat je persoonsgegevens met de Service verbindt. 1. Rollen en reikwijdte Voor persoonsgegevens van de Klant die via de Service worden verwerkt, is de Klant de verwerkingsverantwoordelijke en is Modou de verwerker. De Klant bepaalt waarom en hoe die persoonsgegevens worden verwerkt, waaronder welke verbonden tools en acties je toestaat. Modou is alleen zelfstandig verwerkingsverantwoordelijke voor persoonsgegevens die nodig zijn voor de eigen bedrijfsvoering, zoals accountbeheer, facturering, wettelijke verplichtingen en beveiliging. Deze verwerking staat in het Privacybeleid. 2. Gedocumenteerde instructies Modou verwerkt persoonsgegevens van de Klant alleen volgens de gedocumenteerde instructies van de Klant, waaronder de Servicevoorwaarden, deze overeenkomst en instructies die je via de Service geeft. Als een instructie volgens Modou in strijd lijkt met toepasselijke privacywetgeving, meldt Modou dat aan de Klant, tenzij de wet dat verbiedt. Modou mag persoonsgegevens van de Klant verwerken wanneer EU-recht of het recht van een lidstaat dat verplicht. In dat geval informeert Modou de Klant vóór de verwerking, tenzij de wet een melding verbiedt. 3. Vertrouwelijkheid Modou zorgt dat mensen die persoonsgegevens van de Klant mogen verwerken gebonden zijn aan geheimhouding of onder een passende wettelijke geheimhoudingsplicht vallen. Toegang is beperkt tot mensen die de gegevens nodig hebben om de Service te leveren, beveiligen of ondersteunen. 4. Beveiliging Modou neemt passende technische en organisatorische maatregelen om persoonsgegevens van de Klant te beschermen. Daarbij houdt Modou rekening met de aard van de verwerking en de betrokken risico's. Versleuteling tijdens transport binnen de Service Toegangscontroles die gebruikers beperken tot data van hun eigen account Gecontroleerde omgang met autorisatietokens van verbonden tools Beveiligingscontroles en tijdige beveiligingspatches 5. Subverwerkers De Klant geeft Modou algemene schriftelijke toestemming om subverwerkers in te schakelen die nodig zijn om de Service te leveren. Modou blijft verantwoordelijk voor de privacyverplichtingen van die subverwerkers. Modou houdt de actuele lijst van dienstverleners bij in het Privacybeleid. Voordat Modou een subverwerker toevoegt of vervangt die persoonsgegevens van de Klant wezenlijk raakt, meldt Modou dat binnen een redelijke termijn vooraf via de Service, per e-mail of op deze pagina. De Klant mag binnen die termijn een redelijk privacybezwaar maken. 6. Hulp bij privacyverplichtingen Met inachtneming van de aard van de verwerking helpt Modou de Klant in redelijke mate bij het reageren op verzoeken van mensen die hun privacyrechten uitoefenen. De Klant blijft verantwoordelijk voor het beantwoorden van die verzoeken. Modou verstrekt ook redelijke informatie en hulp voor gegevensbeschermingseffectbeoordelingen van de Klant, voorafgaand overleg met toezichthouders en andere verplichtingen uit de artikelen 32 tot en met 36 AVG, voor zover de hulp betrekking heeft op de Service en wettelijk nodig is. 7. Datalekken Wanneer Modou te weten komt dat er een datalek is waarbij persoonsgegevens van de Klant betrokken zijn, informeert Modou de Klant zonder onredelijke vertraging. Modou deelt de informatie die redelijkerwijs beschikbaar is, zodat de Klant aan eigen meldplichten kan voldoen. 8. Internationale doorgiften Persoonsgegevens van de Klant worden opgeslagen in de EU waar dat in het Privacybeleid is beschreven. Sommige dienstverleners, waaronder AI-aanbieders, kunnen gegevens buiten de Europese Economische Ruimte verwerken. Als voor een doorgifte een waarborg uit hoofdstuk V AVG nodig is, gebruikt Modou een passende rechtmatige doorgiftemethode. 9. Teruggave en verwijdering Aan het einde van de Service kan de Klant zijn gegevens exporteren waar de Service die mogelijkheid biedt. Wordt het account verwijderd, dan verwijdert Modou de login en het profiel meteen, samen met bestanden die bij geen enkel project horen. Projectdocumenten (tekeningen, bestekken, modellen, prijsbestanden, calculaties en exports) bewaart Modou nog maximaal 24 maanden nadat het account is verwijderd. Daarna verwijdert Modou ze, inclusief de bestanden. Vraagt de Klant schriftelijk via hi@modou.io om eerdere verwijdering, dan verwijdert Modou ze binnen 30 dagen, tenzij de wet een langere bewaartermijn vereist. Resterende kopieën in beveiligde back-ups worden afgeschermd en verwijderd volgens de normale back-upcyclus. Modou herstelt persoonsgegevens van de Klant niet uit een back-up, behalve wanneer dat nodig is voor herstel na een storing of voor een wettelijke verplichting. 10. Informatie en audits Modou stelt informatie die redelijkerwijs nodig is om naleving van deze overeenkomst aan te tonen ter beschikking van de Klant. Na een redelijke schriftelijke aankondiging mag de Klant een audit uitvoeren of een onafhankelijke auditor aanwijzen, niet vaker dan eenmaal per periode van 12 maanden, tenzij een wezenlijk incident of toezichthouder iets anders vereist. Audits vinden plaats tijdens normale kantooruren, veroorzaken geen onredelijke verstoring, beschermen de vertrouwelijke informatie van andere klanten en volgen de redelijke beveiligingseisen van Modou. De Klant draagt de kosten van een audit, behalve wanneer de audit een wezenlijke schending door Modou van deze overeenkomst aantoont. 11. Looptijd en voorrang Deze overeenkomst begint wanneer de Klant de Service gebruikt en blijft gelden zolang Modou persoonsgegevens van de Klant verwerkt. Is deze overeenkomst op het punt van gegevensverwerking strijdig met de Servicevoorwaarden, dan heeft deze overeenkomst op dat punt voorrang. Deze overeenkomst vermindert niet de verantwoordelijkheid van de Klant om een geldige grondslag voor instructies te hebben, verplichte informatie te geven en ervoor te zorgen dat het gebruik van de Service voldoet aan toepasselijke wetgeving.
